Services Agreement

This Agreement is made and entered into by and between The Foster Care Organization ("Customer") and Foster Accountability ("Foster Accountability").

Scope of Services

Foster Accountability agrees to provide Customer with access to the Foster Accountability App (the "App") for the purpose of streamlining and improving the management of foster care operations.

Term

The initial term of this Agreement shall be for as long as the organization is using the service, commencing on the Effective Date of this Agreement. This Agreement shall automatically renew for successive terms of monthly or annually unless either party provides written notice of termination at least  days prior to the expiration of the then-current term.

Fees

Customer agrees to pay Foster Accountability the fees set forth in the pricing plan selected by Customer. Fees are due and payable [Frequency of Payment] in advance. Failure to pay fees when due may result in suspension or termination of access to the App.

Confidentiality

Each party agrees to maintain the confidentiality of all information received from the other party that is marked as confidential or is reasonably understood to be confidential.

Ownership

Customer acknowledges that Foster Accountability is the owner of all intellectual property rights in the App and any modifications or improvements to the App made during the term of this Agreement.

Termination

Either party may terminate this Agreement immediately upon notice if the other party materially breaches any provision of this Agreement.

Limitation of Liability

Foster Accountability shall not be liable to Customer for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of [State] without giving effect to any principles of conflicts of law. Any action arising out of or related to this Agreement shall be brought in the courts located in [County], [State].

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or understandings, whether written or oral.
